Terms of Use — SendsHub Product
Effective Date: March 28, 2026
These Terms of Use ("Terms") govern your access to and use of the SendsHub platform, website, APIs, mobile
applications, and related services (collectively, the "Services"), a software product operated and provided by JamBase
LDA, a company duly incorporated under the laws of Portugal ("JamBase", "Company", "we", "our", or "us").
SendsHub is a commercial software product, platform name, and technology solution owned and operated by JamBase LDA.
By accessing or using the Services, you agree to be bound by these Terms
If you do not agree to these Terms, you must not use the Services.
1. Nature of the Services
JamBase provides the Services under the SendsHub product name as a software-as-a-service (SaaS) platform and
technical infrastructure solution designed for businesses and organizations to manage digital asset operations and
internal workflows.
The Services may include, without limitation:
- Workspace administration
- User and role management
- Vault and wallet organization
- Transaction workflow management
- Approval and access control processes
- API integrations
- Mobile application access
- Audit logs and operational monitoring
JamBase acts solely as a technology and software provider.
Neither JamBase nor SendsHub acts as:
- A bank
- Financial institution
- Payment service provider
- Exchange
- Broker
- Investment service provider
- Fiduciary or custodian
2. Eligibility
The Services are intended solely for business and organizational use.
By using the Services, you represent and warrant that:
- You are authorized to act on behalf of your organization
- Your organization has legal capacity to enter into these Terms
- Your use of the Services complies with all applicable laws
3. Customer Account and Administration
The Customer shall designate one or more administrative users ("Administrators").
Administrators may:
- Create and manage users
- Assign roles and permissions
- Create workspaces
- Create and manage vaults and wallets
- Configure workflows and approval policies
- Initiate and approve transactions
- Manage API credentials and integrations
All actions performed by Administrators and authorized users shall be deemed actions of the Customer.
The Customer is solely responsible for:
- Access rights
- Permissions
- User management
- Internal governance
- Approval workflows
- Credential security
4. Customer Responsibility
The Customer retains full responsibility for how the Services are configured and used.
This includes responsibility for:
- Business processes
- Internal policies
- Transaction approvals
- User actions
- Digital asset operations
- Regulatory compliance
JamBase is not responsible for Customer-side configuration decisions, access control settings, or user actions.
5. Regulatory and Licensing Responsibility
The Customer is solely responsible for compliance with all laws, regulations, licensing requirements, and regulatory approvals applicable to its business activities.
This includes, where relevant:
- AML / KYC obligations
- Sanctions compliance
- Financial regulations
- Digital asset regulations
- Tax reporting obligations
- Licensing requirements
If the Customer's activities require any authorization, registration, or license, obtaining and maintaining such approvals remains solely the Customer's responsibility.
JamBase does not provide legal, regulatory, tax, or financial advice.
6. Acceptable Use
The Customer shall not use the Services for:
- Unlawful activities
- Fraud
- Money laundering
- Sanctions violations
- Terrorism financing
- Infringement of third-party rights
JamBase reserves the right to suspend or terminate access where misuse is reasonably suspected.
7. Security
JamBase implements commercially reasonable technical and organizational security measures.
However, the Customer remains solely responsible for:
- Securing credentials
- Internal security controls
- Access management
- User monitoring
JamBase shall not be liable for losses arising from:
- Compromised credentials
- Customer negligence
- Phishing attacks
- Unauthorized internal access
- Customer misconfiguration
8. No Financial, Custody, or Investment Services
The Services are provided solely as technical software infrastructure.
JamBase and SendsHub do not provide:
- Financial services
- Custody services
- Investment advice
- Brokerage services
- Exchange services
All decisions and operations remain solely under the Customer's control and responsibility.
9. Intellectual Property
All intellectual property rights in the Services remain the exclusive property of JamBase LDA or its licensors.
The Customer receives a limited, non-exclusive, non-transferable license to use the Services for internal business purposes.
10. Availability and Maintenance
The Services are provided on an "as is" and "as available" basis.
JamBase does not guarantee uninterrupted or error-free availability.
Maintenance, updates, and external technical issues may affect availability.
11. Limitation of Liability
To the maximum extent permitted by law, JamBase LDA shall not be liable for:
- Indirect damages
- Consequential damages
- Loss of profits
- Loss of business opportunity
- Loss of data
- Customer operational losses
JamBase's total liability shall not exceed the fees paid by the Customer during the previous twelve (12) months.
12. Indemnification
The Customer agrees to indemnify and hold harmless JamBase LDA, its directors, officers, employees, and affiliates from claims, losses, liabilities, damages, and expenses arising from:
- Customer use of the Services
- Customer user actions
- Customer regulatory violations
- Third-party claims related to Customer activities
13. Suspension and Termination
JamBase may suspend or terminate access to the Services if:
- These Terms are violated
- Misuse is suspected
- Required by law
- Necessary for security reasons
14. Changes to the Terms
JamBase may amend these Terms from time to time.
Continued use of the Services constitutes acceptance of the updated Terms.
15. Governing Law
These Terms shall be governed by the laws of Portugal.
